Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and Pixel Labs LLC (“Pixel Labs”, “we”, “us”, or “our”) and govern your access to and use of the Pixel Labs website at pix-labs.com, the AI-powered marketing-template platform, and all related applications, APIs, and services (together, the “Service”). By creating an account, purchasing tokens, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
01Who may use the Service
You must be at least 18 years old and able to form a legally binding contract to use the Service. If you use the Service on behalf of a business or other organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization. The Service is intended for business and commercial use (for example, creating retail and supermarket marketing materials).
02Accounts and security
To use most features you must register an account and provide accurate, complete information. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us immediately at support@pix-labs.com if you suspect unauthorized use. We are not liable for any loss arising from your failure to keep your credentials secure.
03The Service
Pixel Labs lets you transform design templates into branded, product-populated marketing materials. You provide inputs such as brand assets, product images, prices, and text; the Service uses a combination of deterministic rendering and third-party artificial-intelligence models to generate images, layouts, and multi-page flyers and campaigns (“Output”). We may add, change, or remove features at any time, and we do not guarantee that any particular template, model, format, or feature will remain available.
04Tokens, packs, and billing
Certain features consume tokens — prepaid digital credits used to generate, stage, regenerate, re-render, or run campaigns. Token packs and their prices are shown in the Service and are payable in advance through our third-party payment processors. Prices are stated exclusive of taxes unless noted; you are responsible for any applicable VAT, sales, or other taxes.
- Tokens are consumed when you submit a job that uses them. The number of tokens an action costs is displayed in the Service and may change over time.
- Tokens have no cash value, are non-transferable, and cannot be exchanged for money except as required by law or as expressly stated in our Refund Policy.
- Purchases and refunds are governed by our Refund Policy, which is incorporated into these Terms.
- We may change pack contents or pricing prospectively; changes do not affect tokens you have already purchased.
05Your content and brand assets
“Your Content” means everything you upload or submit, including logos, product photos, brand names, prices, and text. You retain all rights you hold in Your Content. You grant Pixel Labs a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and process Your Content solely to operate and improve the Service and to generate Output for you, including by transmitting it to the third-party providers described in Section 9.
You represent and warrant that:
- you own or have all necessary rights, licenses, and permissions to Your Content and to the trademarks, logos, and product imagery you submit; and
- Your Content and your use of the Output do not infringe any third party’s intellectual property, privacy, publicity, or other rights, and do not violate any law.
06Output and intellectual property
As between you and Pixel Labs, and subject to your compliance with these Terms and payment of all applicable tokens and fees, we assign to you our rights, if any, in the Output you generate, so that you may use it for your lawful marketing purposes. Because Output is produced in part by generative AI, similar or identical Output may be generated for other users, and we make no representation that Output is unique or that you can obtain trademark or copyright protection over it.
The Service itself — including our software, templates, designs, fonts, models, prompts, documentation, and the Pixel Labs name and logo — is owned by Pixel Labs or its licensors and is protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms. You may not copy, resell, sublicense, reverse engineer, or create derivative works of the Service except as permitted by law.
07Acceptable use
You agree not to, and not to permit anyone to:
- upload content you do not have the rights to use, or use the Service to infringe, misappropriate, or violate any third party’s rights;
- generate content that is unlawful, deceptive, defamatory, hateful, harassing, sexually explicit, or that promotes violence or discrimination;
- misrepresent prices, products, endorsements, or origin in a way that is misleading to consumers or violates advertising or consumer-protection law;
- attempt to disrupt, overload, probe, or gain unauthorized access to the Service, or bypass any usage limits, security, or token controls;
- use automated means to access the Service except through interfaces we provide, or scrape, resell, or sublicense the Service; or
- use the Service to build or train a competing product or model.
We may investigate suspected violations and may suspend or terminate access, remove content, or take other action as we reasonably deem appropriate.
08AI-generated output — important notice
Output is generated by automated systems and may contain errors, including in pricing, product details, text, spelling, or Arabic and other non-Latin script. You are solely responsible for reviewing, proofreading, and approving every Output before publishing, printing, or distributing it. Do not rely on Output without independent human review.
09Third-party services
The Service relies on third-party providers, including cloud hosting, generative-AI model providers, and payment processors. Your use of those features may be subject to the providers’ terms, and your inputs may be processed by them as described in our Privacy Policy. We are not responsible for third-party services and do not guarantee their availability, accuracy, or continuity.
10Disclaimers
The Service and all Output are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that Output will meet your requirements or be accurate, fit for commercial use, or free of third-party claims.
11Limitation of liability
To the maximum extent permitted by law, Pixel Labs and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages. Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to Pixel Labs in the three (3) months before the event giving rise to the claim, or (b) USD 100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
12Indemnification
You will defend, indemnify, and hold harmless Pixel Labs and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to Your Content, your use of the Output, or your breach of these Terms or applicable law.
13Suspension and termination
You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. Unused tokens are handled in accordance with our Refund Policy. Sections that by their nature should survive termination (including Sections 5–6 and 10–15) will survive.
14Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15Governing law and disputes
These Terms are governed by the laws of the State of Palestine, without regard to conflict-of-laws rules. You and Pixel Labs submit to the exclusive jurisdiction of the competent courts of the State of Palestinefor any dispute that is not subject to mandatory local consumer-protection law. Nothing in this section limits any mandatory rights you have as a consumer in your country of residence.
16General
These Terms, together with the Privacy Policy and Refund Policy, are the entire agreement between you and Pixel Labsregarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for delays or failures caused by events beyond our reasonable control.
